Terms of Use

1. Acceptance of Terms

By accessing or using the ClinicAI platform ("Service"), you ("Clinic", "User") agree to be bound by these Terms of Use ("Terms"). If you do not agree with any part of these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and ClinicAI, operated by Damian Klepacki. By registering a clinic account, clicking "Create Account", or continuing to use the Service after any update to these Terms, you confirm your acceptance.

2. Description of Service

ClinicAI is a software-as-a-service clinic management platform providing the following modular features to subscribed aesthetic clinics in Thailand:

• LINE OA chatbot for patient booking, reminders, and self-service.
• CRM, patient records, and before/after photo management.
• Appointment booking with Google Calendar sync.
• Inventory and stock management with auto-deduction.
• Executive dashboard and financial analytics.
• LINE marketing campaign management.
• Digital consent form signing and medical records.
• Accounting and expense tracking.

Features may be added, modified, or discontinued at any time. We will provide reasonable notice for material changes that affect active subscribers.

3. Accounts and Registration

To use the Service you must register a clinic account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Ensuring all users you invite to your clinic account comply with these Terms.
• Notifying us immediately at [email protected] if you suspect unauthorised access.

You must be at least 18 years old and have legal authority to enter into contracts on behalf of your clinic to register an account.

4. Free Trial and Subscription

New clinics receive a 7-day free trial with full access to the platform. No credit card is required during the trial.

After the trial period, continued access requires an annual subscription of ฿12,000 per year per clinic, payable via PromptPay. Payment is confirmed manually by the ClinicAI administrator upon receipt of a payment slip.

• Subscriptions are non-refundable once activated, except where required by Thai consumer protection law.
• Access will be suspended if payment is not received within the grace period after trial expiry.
• Subscription prices may change with 30 days' notice to existing subscribers.

5. Acceptable Use

You agree to use the Service only for lawful purposes in connection with operating an aesthetic or medical clinic. You must not:

• Use the platform to process data for clinics other than your registered clinic without written authorisation.
• Attempt to gain unauthorised access to other clinics' data or to the platform's infrastructure.
• Upload malicious code, spam, or content that violates applicable laws.
• Use the marketing module to send unsolicited messages to patients who have not given consent under the PDPA.
• Reverse engineer, decompile, or copy any part of the platform.
• Resell or sublicense access to the platform without prior written agreement.
• Provide false information during registration or in your clinic profile.

6. Data Ownership and Privacy

Your clinic's data is yours. You retain full ownership of all patient records, bookings, medical data, and other content you input into the platform. ClinicAI processes this data solely on your behalf as a data processor under the PDPA.

As the clinic operator, you are the data controller responsible for obtaining valid consent from your patients before collecting their personal data, including before sending marketing messages via LINE.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

7. LINE OA Integration

The LINE OA integration requires you to hold a valid LINE Official Account and agree to LINE Corporation's terms of service. You are responsible for:

• Maintaining your LINE OA in good standing with LINE Corporation.
• Ensuring your LINE messaging complies with LINE's messaging guidelines and the PDPA consent requirements.
• Securely managing your LINE channel secret and access token. We encrypt these on your behalf, but you must not share them publicly.

ClinicAI is not affiliated with LINE Corporation. Any changes to LINE's API or policies that affect the Service are outside our control.

8. Intellectual Property

All software, design, code, branding, and content of the ClinicAI platform (excluding your clinic's data) is the intellectual property of ClinicAI / Damian Klepacki. Nothing in these Terms transfers any intellectual property rights to you.

We grant you a limited, non-exclusive, non-transferable licence to use the Service solely for the purposes described in these Terms during an active subscription period.

9. Limitation of Liability

To the maximum extent permitted by Thai law, ClinicAI shall not be liable for:

• Loss of revenue, profits, or business opportunities arising from platform downtime or data loss.
• Indirect, incidental, or consequential damages resulting from your use of the Service.
• Errors or omissions in patient data entered by clinic staff.
• Service interruptions caused by LINE, Google, internet connectivity, or third-party infrastructure.

Our aggregate liability for any claim arising from these Terms shall not exceed the total subscription fees paid by your clinic in the 12 months preceding the claim.

10. Termination

By you: You may discontinue use of the Service at any time. Your data will be retained for 90 days after the subscription end date, after which it will be permanently deleted.

By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding subscription fees. We will provide notice except where immediate termination is required to protect the platform or other users.

Upon termination, you may request an export of your clinic's data within 30 days by contacting us. After 90 days, data cannot be recovered.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of the Thai courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
